Companies Registry External Circular No. 3 / 2025|Promoting Paperless Corporate Communication for Hong Kong Companies
The Companies Registry of Hong Kong has issued a circular announcing that the Companies Ordinance (Cap. 622) will be amended to promote paperless corporate communication for both listed and unlisted companies, effective April 17, 2025. Key changes include the introduction of an implied consent mechanism for disseminating corporate communications via websites, which streamlines notification requirements while ensuring member and debenture holder protections. Listed companies using this mechanism will not need to send separate notifications for new communications, while unlisted companies must obtain prior consent.
