Exchange’s Disciplinary Action against Regal Partners Holdings Limited (Formerly Known as Morris Home Holdings Limited) (Stock Code: 1575) and Three Former Directors

The Stock Exchange of Hong Kong Limited (a wholly-owned subsidiary of Hong Kong Exchanges and Clearing Limited) has censured Regal Partners Holdings Limited (formerly Morris Home Holdings Limited, Stock Code: 1575), along with its former executives—Mr. Zou Gebing (former chairman, CEO, and executive director), Mr. Wu Yueming (former executive director), and Mr. Shen Zhidong (former executive director)—for actions prejudicial to investors’ interests. The Exchange issued a statement declaring that the individuals’ roles as directors or senior managers may harm investor interests and directed the company to conduct an independent internal control review. In October 2021, Mr. Zou and Mr. Wu arranged for a subsidiary, Fashion Home, to guarantee a debt of approximately RMB20.8 million owed by Mr. Zou’s private company, failing to manage clear conflicts of interest or ensure compliance with Listing Rules. While Mr. Shen was unaware of the guarantee, he admitted to neglecting his responsibilities by failing to monitor the subsidiary’s operations. This case highlights the critical need for directors to remain actively engaged in company affairs, address conflicts of interest, and uphold their duties under the Listing Rules.
